Default weird stall problem

Hey guys, Haven't been keeping up tabs with you in a while... Well, I got rid of my clapped out 88 5.0 and bought a 2000 GT. I just got it a week ago. But i'm already having a little problem with it. It seems to stall every once in a while while im rolling... right around 40 mph and when i push the clutch in to down shift. I'm not sure what to think or where to start looking. If anyone has had or knows about this problem please help me out. Thanks

I am not sure but that sounds like IAC valve.
Does it say "Service Engine Soon" now? If yes, read the code (EEC DIAGNOSTICS CODE) out and change, repair or adjust what ever it is.

The only curious thing is that it only happens at 40 Mph.
