Assuming it's legal in your state, you will have to change the transmission, the rear end, fix the PATS, find a 5.0L computer & wiring harness, swap the k-member, and swap the front springs & shocks.
You "should" change the brakes, as well.
Getting the guages to work will may be an issue if you don't swap in the computer & wiring harness regardless of whether or not it's carbeurated. If it is, you may need to find a fuel injection system, too.
Regardless, after you did all that work, you wouldn't have much more power than if you'd just swapped a 1999+ 3.8L heads, and 1999-2000 3.8L intake.
