Default 1994 Mustang transmission problem - help please

Hi, we have a 1994 mustang convertible, standard (not GT or cobra) with an automatic transmission. The transmission hesitates to shift from 1st to 2nd, until you let off the gas a bit. It seems like the RPMs would continue to build, and never shift up, unless you let off the gas, then it shifts. Also, sometimes the RPMs "flare". With only a little demand at highway speeds, it's fine, then with an incline or slightly more demand, it seems to come out of overdrive, downshift, surge the RPMs, lurch the car, then go back to overdrive and settle down. Does this sound like a sensor gone bad or a need for a new transmission?

Thanks for your help with this, especially if you can tell me what we might need with out having to spend the big bucks on a new transmission.
